S&P Global Market Intelligence Dataset Additional Terms

These Terms shall apply where the Services provided to the User include any S&P Services.

In these Terms, unless the contrary intention appears, any capitalized reference to:

“Handshakes” shall mean DC Frontiers Pte. Ltd., Handshakes Technology (Malaysia) Sdn. Bhd. or such other affiliate that provides the S&P Services to the User, as applicable.
“S&P” shall mean S&P Global Market Intelligence LLC.
“S&P Services” shall mean the specific solution or service supplied and / or licensed by Handshakes to the User pursuant to an executed contract with the User. 
“User” shall mean the permitted party (and all personnel engaged by it and / or under its control) with access to the S&P Services.

  1. Except as expressly permitted, the User is being granted temporary use of and access to the S&P Services for its internal evaluation purposes only. The User is prohibited from: (a) any use of the S&P Services or granting of access to individuals other than for purposes described herein; (b) modifying, merging, decompiling or attempting to reverse assemble or engineer the S&P Services or code relating thereto; (c) making any commercial or external use of the S&P Services; and (d) removing any copyright, trademark or other proprietary notices found within the S&P Services.
  2. Neither Handshakes, S&P, their affiliates nor any of their suppliers shall have any liability for the accuracy or completeness of the information or software furnished through the Services described herein, or for delays, interruptions or omissions therein nor for any lost profits, indirect, special or consequential damages.
  3. S&P Services are not investment advice and a reference to a particular investment or security, a credit rating or any observation concerning a security or investment provided in the S&P Services is not a recommendation to buy, sell or hold such investment or security or make any other investment decisions.
  4. S&P, their affiliates or their suppliers have exclusive proprietary rights in the S&P Services and any information and software received in connection therewith.
  5. User shall not use or permit anyone to use the S&P Services for any unlawful or unauthorized purpose.
  6. Except as expressly permitted herein, the S&P Services are being provided for User’s internal use only and User is not authorized or permitted to distribute or otherwise furnish such information or software to any third-party without prior written approval of S&P.
  7. Access to the S&P Services is subject to termination in the event that any agreement between Handshakes and S&P terminates for any reason.
  8. S&P may enforce its rights against User as the third-party beneficiary, even though S&P is not a party to contractual relationship between the User and Handshakes.


World-Check Dataset (Global Watchlist) Additional Terms

These Terms shall apply where the Services provided to the User include any Refinitiv Content.

In these Terms, unless the contrary intention appears, any capitalized reference to:

“Handshakes” shall mean DC Frontiers Pte. Ltd., Handshakes Technology (Malaysia) Sdn. Bhd. or such other affiliate that provides the Refinitiv Content to the User, as applicable.
“LSEG” shall mean London Stock Exchange Group PLC.
“Refinitiv Content” shall mean information products, data, services, material, output, functionality and / or software technologies owned by and / or associated with LSEG or the ‘LSEG World-Check’ brand.
“Services” shall mean the specific solution or service supplied and / or licensed by Handshakes to the User pursuant to an executed contract with the User. 
“User” shall mean the permitted party (and all personnel engaged by it and / or under its control) with access to the Services and / or Refinitiv Content.

  1. Except as expressly permitted herein, the Services are being provided for User’s internal non-commercial use only and User is not authorized or permitted to disclose or otherwise furnish or transfer such information obtained under the Services to any third-party or outside of Singapore without prior written approval of Refinitiv, unless such disclosure is required by any government or regulatory authorities or under applicable laws.
  2. Access to the Refinitiv Content (and where applicable, integration from LSEG’s third party providers) under the Services is subject to termination in the event that any agreement between Handshakes and Refinitiv or Refinitiv and its third-party providers terminate for any reason.
  3. The User acknowledges and agrees that Refinitiv Content are subject to restrictions set out at https://www.refinitiv.com/en/policies/third-party-provider-terms (where applicable) and form part of the Services in circumstances where Refinitiv Content includes content or services of a third party provider that are subject to such restrictions.
  4. LSEG shall have the right suspend the User’s access to Refinitiv Content immediately in the event of misuse of Refinitiv Content or to prevent / mitigate the effects of any security incident or to investigate a reasonably suspected security incident.
  5. The Services and Refinitiv Content are not to be treated as financial, tax and accounting, medical, legal or other professional advice. The Services may contain opinion of third parties, and LSEG shall not be responsible or liable for these opinions.
  6. The User shall not use the Services in any way that results in the access or disclosure of unnecessary or irrelevant personally identifiable information (“PII”) by any person. If PII is part of the Refinitiv Content, User shall refer to the Privacy Notice made available in respect to the PII containing Refinitiv Content.
  7. The User acknowledges and agrees that: (a) the Refinitiv Content cannot be an exhaustive source of information and the User should not rely solely upon the Refinitiv Content when making any decision to deal with any person or entity and that before making any such decision the User should make independent checks of such person or entity to supplement and verify the information contained in the Refinitiv Content and/or the Services and their resulting suitability as a commercial counterparty; (b) Refinitiv Content cannot be incorporated into any product, service, tool, software or other mechanism designed to make automated decisions about an individual or that individual’s personal or professional interests; (c) LSEG provides Refinitiv Content without giving any opinion or recommendation about any individual or entity named in same; (d) LSEG may include information in Refinitiv Content that relates to an entity or individual that bears the same name as other unconnected persons; (e) if the Refinitiv Content contains negative allegations about any person or entity, it should be assumed that such allegations are denied by them; (f) information in the Refinitiv Content is necessarily in summary form and should be read and used by User in context of the full details available in the underlying sources included in the Refinitiv Content; (g) the inclusion or exclusion of any person or entity in or from the Refinitiv Content should not solely be taken to draw any particular inference (negative or otherwise) about that person or entity, including as the result of the linking of that person or entity to any other person or entity identified in the Refinitiv Content. User should not assume that any person or entity identified in the Refinitiv Content has breached any law or sanction, and the parties agree that LSEG is not in a position to make such determinations. LSEG has no responsibility for the Refinitiv Content provided by third party databases or extracts. The Refinitiv Content or a report may include or mention the following without limitation: (i) The “Iran Economic Interest” or “IEI” database, which contains content on persons or entities that have been reported in the public domain as having some direct or indirect economic interest in Iran or with Iran or a person connected to Iran; (ii) The “Iran Economic Interest” or “IEI” database, which contains content on persons or entities that have been reported in the public domain as having some direct or indirect economic interest in Iran or with Iran or a person connected to Iran; (iii) Country-Check Ranks and Country-Check Reports which are provided as a guide to assist with determinations of jurisdictional risk in relation to the country in question. Any risk rankings and bandings generated using the Country-Check predefined or default weight sets represent LSEG’s assessment of risk associated with that country based on available public domain information (which may be inaccurate), an underlying algorithm and LSEG’s perception of risk and may not be appropriate for User’s use. User must satisfy themselves that they understand LSEG’s default settings and risk criteria and that such settings are appropriate and applicable for their level of risk appetite. Country-Check Ranks and Country-Check Reports do not in any way seek to assign a level of risk to individuals identified in Refinitiv Content and User may not use the Country-Check Ranks and Country-Check Reports to do this; (h) many persons are included in the Refinitiv Content solely because they hold or held prominent political or other positions or are connected to such individuals and no particular inference (negative or otherwise) should be drawn about such persons based on any such position; (I) while significant time and effort is invested by LSEG to ensure that the Refinitiv Content is kept up to date, LSEG cannot guarantee that information contained in them will remain up to date or will always be free of error (including inaccuracies); (j) Refinitiv makes no warranty or representation about, and disclaims all liability for, the accuracy, completeness or currency of any information from third party providers that forms part of the Refinitiv Content; and (k) User must make their own assessment of the relevance and applicability of any classification of individuals contained in the Refinitiv Content.
